Austin, Texas – May 22, 2023 — Website Announcement — Turner Valley Oil and Gas, Inc. (the “Company”) (“Turner”) (OTC: TVOG), now operating as Turner Venture Group, Inc., is pleased to declare the successful sale of all its assets.

Under the guidance of Turner’s management, the company collaborated with an investment banking partner to explore merger and acquisition opportunities. Throughout this process, various approaches were examined to accomplish registration, audits, and finalize a transaction.

A compelling offer was extended by the investment banking partner to acquire all its interests of Bloomi Labs, LLC and additional business interests, social media accounts, including related debts, obligations, and business plans, through a special acquisition company (“SAC”).

Turner is delighted to announce the completion of this deal, which was finalized on Friday, May 19th, 2023. As part of the agreement, Turner will receive shares in the SAC, reduce its debt by $21,800.00, negotiate a decrease in the conversion of preferred stock and eventual retirement of all preferred stock, eliminate all remaining convertible debt, and terminate all accrued management compensation to date. Further agreements or administration items will be required to complete these steps.

Currently, Turner has no plans to pursue new opportunities and intends to convert any ownership it possesses into liquid assets as it becomes feasible. The company will then distribute the proceeds to its shareholders.

The Company is not currently a reporting member of OTC Markets or any other regulatory body, therefore it is believe to not have further disclosure obligations.
